Terms and conditions

These terms apply to every use of PriceHuddle, the price comparison software at app.pricehuddle.com. PriceHuddle is provided by SimpleSpares B.V., Sneliusweg 12, 6827 DH Arnhem, the Netherlands, registered with the Dutch Chamber of Commerce under number 96989599 (“we”, “us”). By creating an account you accept these terms on behalf of your company (“you”).

1. For businesses only

PriceHuddle is made for companies that buy parts. You may only create an account for a business, and the person who creates it confirms they are allowed to accept these terms for that business. Consumer protection rules that apply to private individuals do not apply to this agreement.

2. Your account and the free trial

• Every new company account starts with a free trial of 30 days. No credit card is needed for the trial.
• After the trial, choose a plan to keep importing price lists and running analyses. If you don’t, your data stays readable; nothing is deleted.
• You are responsible for the people you invite to your account, for keeping passwords safe, and for everything done with your account. Tell us straight away if you think someone has access who shouldn’t.

3. Plans, prices and payment

• The plans and prices are shown on our pricing page. Prices are in euros and exclude VAT.
• You pay in advance, per month or per year, depending on the billing period you choose. Payments are handled by our payment provider, Stripe.
• A subscription renews automatically for the same period until you cancel it.
• We may change our prices. We tell you at least 30 days before a new price applies to you, and it only takes effect from your next billing period. If you don’t agree, you can cancel before then.
• If a payment fails and is still not made after we remind you, we may limit your account to reading until it is paid.

4. Cancelling

You can cancel any time from the billing page in the app. Your plan keeps running until the end of the period you already paid for and is not renewed after that. We don’t refund periods that have already started.

We may end the agreement with 30 days’ notice, or straight away if you seriously break these terms. If we end it without a reason on your side, we refund the unused part of a period you paid for.

5. Your data

• The price lists, orders, analyses and other data you put into PriceHuddle stay yours. We only use them to provide PriceHuddle to you, and never share them with other customers or sell them.
• Your company’s data is kept separate from every other company’s. Only people in your own company account can see it.
• You make sure you are allowed to upload the data you import, including price lists your suppliers send you.
• You can export your analyses at any time. When your account is closed, we delete your data within 90 days, except what we must keep by law, such as invoices.
• How we handle personal data is described in our privacy policy. Where we process personal data on your behalf, we do so as your processor; a data processing agreement is available on request.

6. Fair use

Don’t use PriceHuddle for anything unlawful, don’t try to get into other companies’ data or parts of the system you don’t have access to, don’t overload or disrupt the service on purpose, and don’t resell access to PriceHuddle without our written permission. If you do, we may suspend your account.

7. Availability and support

We work hard to keep PriceHuddle available and fast, and to fix problems quickly, but we can’t promise it will never be interrupted. We sometimes need maintenance; we plan it outside office hours where we can. We improve PriceHuddle all the time and may change or remove features, as long as the core of what you pay for stays available.

Support is by email. On the Pro plan, your questions go first.

8. Results are advice

PriceHuddle calculates prices from the price lists, costs and settings you enter, and from the European Central Bank’s daily reference exchange rates. The results are only as good as that data. You decide what to buy and where; check important orders before you place them.

9. Liability

Our total liability under this agreement is limited to the amount you paid us in the 12 months before the event that caused the damage. We are not liable for indirect damage, such as lost profit, lost savings, missed orders or damage caused by decisions based on the results in PriceHuddle. These limits don’t apply if the damage was caused by our intent or gross negligence.

10. Changes to these terms

We may change these terms. We tell you about important changes by email at least 30 days before they take effect. If you keep using PriceHuddle after that, the new terms apply; if you don’t agree, you can cancel before then.

11. Law and disputes

Dutch law applies to these terms and to the use of PriceHuddle. Disputes are brought before the competent court in Arnhem, the Netherlands.
